TERMS OF SERVICE

1. Acceptance of Terms

By accessing or using Nexus CRM ("the Service"), you agree to comply with these Terms of Service ("ToS"). If you do not agree, you may not use the Service.

2. Use of Services

You must be at least 18 years old or the age of majority in your jurisdiction.

You agree not to misuse the Service for unlawful activities, including but not limited to: sending spam or unauthorized marketing messages; engaging in fraud, hacking, or unauthorized data collection.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials.

Any unauthorized activity on your account must be reported immediately to Nexus CRM.

Nexus CRM reserves the right to suspend or terminate accounts involved in suspicious activity.

4. Subscription Fees & Usage-Based Charges

4.1 General Subscription Fees

Fees for using Nexus CRM are listed on our website (or within your agreement).

All payments are non-refundable unless explicitly stated otherwise.

We reserve the right to change pricing with prior notice.

4.2 Usage-Based Fees (SMS, Email, Calls, AI, etc.)

Certain services (e.g., SMS, email, phone calls, AI processing) incur additional charges based on actual usage.

Usage-based fees are billed separately and are calculated based on third-party provider rates, which may change.

By using these services, you agree to be automatically billed for any incurred costs.

4.3 Payment Processing

Payments are processed through Stripe or another payment gateway.

You authorize us to charge your stored payment method for recurring and usage-based fees.

Failed payments may result in account suspension until the outstanding balance is cleared.

5. Third-Party Services & Dependencies

Nexus CRM relies on third-party platforms (including but not limited to SMS gateways, email providers, AI tools, and API integrations).

We are not responsible for outages, price changes, or limitations imposed by third-party providers.

Nexus CRM reserves the right to change, remove, or replace third-party integrations as needed.

6. Intellectual Property

All software, content, and branding associated with Nexus CRM are owned by us or our licensors.

You may not copy, modify, distribute, or reverse-engineer any part of the Service.

7. No Warranties & Service Availability

Nexus CRM is provided "as is" and "as available", without warranties of any kind.

We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.

We are not responsible for data loss, technical failures, or third-party service disruptions.

8. Limitation of Liability

We are not liable for indirect, incidental, or consequential damages.

Our total liability for any claim shall not exceed the total amount you paid for the Service in the past three months.

9. Account Termination

We may suspend or terminate your access to Nexus CRM for any of the following: non-payment of fees; violation of these ToS; suspected fraudulent or abusive activity.

10. Governing Law & Dispute Resolution

These ToS are governed by the laws of Texas.

Any disputes must be resolved in Texas courts.

11. Changes to These Terms

We reserve the right to modify these ToS at any time.

Continued use of Nexus CRM after changes indicates acceptance of the updated terms.
